1. General provisions
1.1. This document is the official public offer (Offer) of sole proprietor Yelyzaveta Volodymyrivna Sendeha, tax ID 3292213947 (the “Operator”), to enter into a SendyShop Platform Access Agreement (the “Agreement”) with any person who responds to this offer on the terms below.
1.2. The Operator lawfully holds intellectual property rights to the SendyShop platform at https://sendy.com.ua/.
1.3. Under Articles 205, 633, 638 and 641 of the Civil Code of Ukraine, acceptance of this Offer means conclusion of the Agreement on its terms. A person who accepts becomes a Client.
1.4. The Privacy Policy at https://sendy.com.ua/en/privacy-policy and the Pricing at https://sendy.com.ua/en/pricing are integral parts of the Agreement.
2. Definitions
2.1. Platform (SendyShop) means the software and hardware that lets the Client create and run an online store without developing software independently.
2.2. Admin panel means the part of the Platform where the Client manages products, orders, settings and the store appearance.
2.3. Store means the Client's website built with the Platform, available on a sendy.com.ua subdomain or the Client's own domain.
2.4. Client means an individual, sole proprietor or legal entity registered on the Platform with access to the admin panel.
2.5. Buyer means a person who browses the Client's Store and places or receives orders there.
2.6. Plan means the price of Platform access and included features per https://sendy.com.ua/en/pricing.
2.7. Billing period means the period paid for: one month or one year depending on the payment option chosen.
2.8. Early access means the period before public launch when access is granted to a limited group of Clients under section 5.
2.9. Trial period means the free use period under clause 4.5.
2.10. The Operator does not work with businesses or individuals from the russian federation or the Republic of Belarus due to armed aggression against Ukraine. The Operator may request additional documents if there are reasonable grounds to suspect affiliation with an aggressor state.
3. Subject of the Agreement
3.1. The Operator grants the Client access to the Platform, including the admin panel, Store creation and operation, product listings, order and payment acceptance, and other features within the chosen Plan.
3.2. The Operator maintains Platform operation, monitors performance and fixes detected errors within reasonable time.
3.3. The Operator charges no commission on the Client's turnover, individual orders or sales. Platform access fees are defined solely by the Plan and do not depend on sales volume.
3.4. The Agreement also covers additional services outside the Plan, including custom design and non-standard functionality.
4. Offer acceptance. Start of use
4.1. The Client registers on the Platform by completing the registration form.
4.2. Acceptance occurs when the Client either completes registration with agreement to the Agreement terms, or makes the first payment for access.
4.3. By registering, the Client agrees to receive Platform-related notices by email and messengers. This does not cover marketing mailings, which require separate consent that may be withdrawn.
4.4. After registration the Client receives admin panel access and Platform instructions.
4.5. The trial period is 5 (five) calendar days from uploading the first product to the Store catalog. No fee is charged during the trial and no bank card is required.

4.7. Access is provided “as is” within available functionality. The Operator does not guarantee the Platform will meet all Client expectations. The Client assesses suitability independently.
5. Early access terms
5.1. Before public launch the Operator grants access to a limited number of Clients — the first 100 (one hundred) Stores — on special terms.
5.2. Early access Clients receive the Business plan at the Starter price for the first year of Platform use from the first payment date.
5.3. After the first year the Client chooses either to continue Business at full price or switch to Starter at the same price paid during the first year.
5.4. The Operator notifies the Client at least 30 (thirty) calendar days before early access terms end.
5.5. Early access Clients receive launch help, including catalog migration and delivery/payment setup, at no extra charge.
5.6. Early access Clients are informed that the Platform may still be under development, features may roll out gradually, and errors may occur. The Client accepts this knowingly.
6. Plans and payment
6.1. Access price is defined by the Plan in effect on the payment date per https://sendy.com.ua/en/pricing.
6.2. All payments are in Ukrainian hryvnia.
6.3. Payment is prepaid for the chosen billing period: monthly or yearly.
6.4. Payment is accepted by card via internet acquiring or bank transfer to the Operator's account.

6.6. Plan changes do not apply to an already paid billing period; for early access Clients they do not apply to the first year under clause 5.2.
6.7. A Client who disagrees may terminate before changes take effect and receive a refund of unused prepaid amount under section 9.
6.8. The Operator may grant access on special promotional terms announced on the website.

8.3. At least 7 (seven) calendar days before deletion the Operator sends a separate email reminder about exporting data.

8.5. The unpaid restriction period is not charged to the Client and is not compensated.
9. Termination and refunds
9.1. The Client may terminate anytime via the admin panel or email without giving reasons.
9.2. With monthly payment, access continues until the paid month ends. The current month is non-refundable.
9.3. With yearly payment, the Operator refunds unused prepaid amount proportionally to remaining full months, minus the difference between yearly and monthly rates for months actually used.
9.4. Refunds are made within 10 (ten) banking days to the account from which payment was received.
9.5. If the Client is an individual buying for non-business needs, consumer protection rules on distance contracts also apply.
